Terms & Conditions

These Terms & Conditions govern your use of Sanfaani's website and services. By accessing our website or engaging our services, you agree to comply with these terms.

If you do not agree with these terms, please do not use our services.

1 About Sanfaani

Sanfaani provides structured digital infrastructure services including:

  • Learning Management System (Moodle) deployment and management
  • Virtual classroom infrastructure (BigBlueButton)
  • School & NGO digital system setup and administration
  • Hosting and server management services
  • Web platforms and portals development
  • Technical system support and maintenance

All services are provided under defined agreements and scoped deliverables. Each engagement begins with clear requirements definition and mutual agreement.

2 Service Engagement

All professional services require the following:

  • Formal agreement or proposal approval
  • Payment confirmation as per agreed terms
  • Clear scope definition and project requirements

Important Notice

Work begins only after written confirmation and agreed payment terms have been satisfied. Sanfaani reserves the right to decline service requests where necessary, including cases where requirements are unclear, resources are unavailable, or alignment with our service capabilities is insufficient.

Service commencement dates are confirmed only after all prerequisites are met. Any changes to scope after agreement may affect timelines and costs.

3 Payments & Billing

Our payment and billing terms are designed for clarity and mutual protection:

  • Payments are processed via secure third-party gateways (Paystack, Flutterwave) or direct bank transfer
  • Payment schedules and milestones are defined in project proposals and agreements
  • Infrastructure subscriptions must be paid in advance before activation or renewal
  • Late payments may result in temporary suspension of service until payment is received
  • Payment reminders are sent before due dates as a courtesy

Currency: All fees are quoted in Nigerian Naira (₦) unless otherwise explicitly stated in writing.

Taxes: Prices do not include applicable taxes unless specified. Clients are responsible for any taxes, duties, or government charges related to the services.

4 Refund Policy

Our refund policy is designed to be fair and transparent:

  • Payments for completed setup, configuration, or delivered infrastructure services are non-refundable
  • Refund eligibility applies only if explicitly stated in a written agreement
  • Subscription services must be cancelled before the renewal date to avoid charges for the next period
  • Partial refunds may be considered for unused prepaid services under exceptional circumstances

Note on Refunds

Refund details for specific services may be governed by a separate Refund Policy document. Always refer to your specific service agreement for the most accurate refund information applicable to your engagement.

5 Client Responsibilities

By engaging Sanfaani's services, clients agree to:

  • Provide accurate and complete information required for service delivery
  • Respect intellectual property rights of Sanfaani and third parties
  • Use systems lawfully and in compliance with applicable regulations
  • Maintain internal user discipline and access management
  • Promptly report any security concerns or system issues

For Educational Institutions and Organizations:

  • Schools and organizations remain the primary data controllers for their student and staff data
  • Institutions are responsible for obtaining necessary parental consents where required by law
  • Clients must maintain appropriate internal administrative access controls
  • Compliance with data protection regulations (including Nigeria's Data Protection Act) is the client's responsibility

6 Intellectual Property

Intellectual property rights are defined as follows:

  • Sanfaani retains ownership of custom frameworks, deployment methodologies, infrastructure architecture, proprietary tools, and system templates developed by our team
  • Clients retain ownership of their uploaded content, data, materials, and proprietary information
  • Open-source components are used under their respective licenses
  • Custom-developed solutions may include specific IP arrangements detailed in project agreements

Prohibited Actions

Unauthorized duplication, reverse engineering, or redistribution of Sanfaani systems, configurations, or materials is strictly prohibited. License terms for specific software components are provided with service documentation.

7 System Availability & Downtime

We aim to maintain reliable service uptime and performance. However, certain factors may affect availability:

  • Scheduled maintenance may occur with advance notice when possible
  • Hosting providers and infrastructure partners may experience external downtime beyond our control
  • Internet disruptions and network issues may affect access to hosted services
  • Force majeure events including natural disasters, government actions, or major network failures may impact service

Sanfaani implements redundancy and monitoring systems, but cannot guarantee 100% uninterrupted service. Specific uptime commitments for premium services are detailed in service-level agreements (SLAs).

8 Data & Privacy

Use of our services is subject to our Privacy Policy, which details how we handle personal and organizational data.

  • We implement security best practices including encryption, access controls, and regular audits
  • Data protection measures comply with applicable regulations including Nigeria's Data Protection Act
  • Client data is processed only for the purposes specified in our agreements
  • We act as data processors for client-controlled data under defined terms

Security Disclaimer

While we implement industry-standard security measures, no system can be 100% immune to risks, threats, or breaches. Clients should implement their own security practices and maintain appropriate backups.

9 Limitation of Liability

To the fullest extent permitted by law, Sanfaani shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of business revenue, profits, or anticipated savings
  • Data loss or corruption resulting from client negligence or improper use
  • Failures or issues with third-party providers, networks, or infrastructure
  • Downtime or disruptions beyond reasonable control
  • Any claims arising more than 12 months after the cause of action

Total Liability Cap: Sanfaani's total liability for any claims under these terms is limited to the value of the service fees paid by the client within the active contract period related to the claim.

This limitation applies regardless of the legal theory (contract, tort, or otherwise) and even if Sanfaani has been advised of the possibility of such damages.

10 Termination

Sanfaani may suspend or terminate services if:

  • Payment obligations are not met within agreed grace periods
  • Systems are used unlawly or in violation of these terms
  • Agreement terms are materially violated
  • Required information or cooperation is persistently withheld
  • Security of systems is compromised by client actions

Clients may terminate services according to:

  • Notice terms defined in their specific service agreement
  • Written notice provided within agreed timeframes
  • Fulfillment of any outstanding obligations

Upon termination, clients are responsible for retrieving their data within the specified retrieval period. Sanfaani may retain certain data as required by law or for legitimate business purposes.

11 Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

  • Any disputes arising from these terms shall be subject to Nigerian jurisdiction
  • Legal proceedings shall be conducted in appropriate Nigerian courts
  • The United Nations Convention on Contracts for the International Sale of Goods does not apply

We encourage clients to contact us to resolve any disputes amicably before pursuing formal legal action.

12 Changes to Terms

Sanfaani may update these Terms & Conditions periodically to reflect:

  • Changes in our services or business practices
  • Legal or regulatory requirements
  • Industry standards and best practices
  • Feedback from clients and stakeholders

Update Process:

  • Changes will be published on this page with a revised effective date
  • Material changes may be communicated via email or service notifications
  • Continued use of our services after changes constitutes acceptance of updated terms
